papanikolopoulou & partners law acted as Greek legal counsel to National Bank of Greece S.A. and Piraeus Bank S.A., in their roles as Greek financial advisers to Metlen Energy & Metals Plc, in connection with Metlen’s high-profile dual listing on the London Stock Exchange (LSE) and the Athens Exchange (ATHEX). This landmark transaction follows the successful completion of a voluntary share exchange offer (SEO), which secured over 90% shareholder acceptance. It marks a strategic milestone in Metlen ’s corporate evolution:
- the LSE now serves as Metlen’s primary listing venue,
- making it the first company to list on the LSE with a primary listing denominated in euros,
- with a secondary listing on the ATHEX.
Our team advised on all Greek legal aspects of the SEO and the admission to trading on the Athens Exchange — including coordination of local regulatory and listing requirements — working in close cooperation with the broader advisory team across multiple jurisdictions.
The transaction team was led by our Managing Partner Christina Papanikolopoulou, supported by Athina Palli (Senior Associate) and Christina Rapti (Junior Associate).
Christina Papanikolopoulou stated “We are honoured by Metlen’s trust. Metlen is a pioneering group — always ahead of the curve, driven by the visionary leadership of Evangelos Mytilineos.”
We are proud to have contributed to this important milestone in the Greek capital markets, and to have worked alongside a world-class team of financial and legal advisers.
